본 약관은 Tenvio(이하 "당사")가 tenvio.net 및 그 하위 도메인에서 제공하는 산업별 운영 SaaS(카페 · 교회 · 숙련공 등, 이하 "서비스")의 이용 조건을 정합니다.

Terms of Service (English)
These terms govern the use of the industry operations SaaS (cafe, church, trades and others — the "Service") provided by Tenvio ("we", "us") at tenvio.net and its subdomains. By ordering or using the Service you agree to these terms.
1.Definitions
- Customer: the business or organisation that is party to the agreement (a cafe, church, trades business, etc.).
- Users: people the Customer gives accounts to (staff, pastors, teachers) and people who use the Customer's public, guest or member pages.
- Customer Data: all information entered into or stored in the Service by or for the Customer (rolls, orders, giving records, etc.).
2.Formation
The agreement is formed when (a) the Customer accepts our order confirmation (stating plan, fees, setup fee and trial expiry), or (b) the Customer first signs in and starts using the Service. If an order confirmation differs from these terms, the order confirmation prevails.
3.The Service
- We provide and maintain the Service with commercially reasonable efforts. No specific uptime (SLA) is guaranteed.
- Features depend on the subscribed plan. We may improve or change the Service; we will give 30 days' notice of changes materially adverse to the Customer.
- We will restore the Service promptly, within reason, after maintenance or outages.
- We own the rights in the Service's software, design and trade marks. For the term of the agreement the Customer has a non-exclusive, non-transferable right to use the Service to run its own business. Rights in Customer Data remain with the Customer under clause 7.
- We also own the rights in any features, settings or code we build at the Customer's request, including where a custom work fee is paid, and we may make them available to other customers. A custom work fee pays for development and priority delivery and does not grant exclusivity. This does not cover Customer Data or the Customer's own name, logo and wording.
- We may use any feedback or suggestions the Customer gives us about the Service to improve it, without payment.
4.Fees and payment
- Fees follow the price list published on each industry portal at the time of order, in New Zealand dollars. We are GST-registered and published fees are exclusive of GST — GST at 15% is added on invoice, and we issue a tax invoice showing our GST number.
- Subscriptions are monthly or annual (10 months' price). The setup fee is one-off and non-refundable (if cancelled before onboarding completes, the unperformed part is refunded by agreement). There is no term commitment and the Customer may terminate at any time. Contracts started before 2026-09-29 on the 12-month-term setup-fee waiver keep the previous clause (terminating during the term costs the remaining months × NZ$54).
- If payment is overdue, the Service may be suspended after the grace period stated in the order confirmation (default 7 days). Customer Data is preserved under clause 9 during suspension.
- Fee changes take 30 days' notice and never apply to periods already paid.
- What "unlimited" means — an item a plan lists as unlimited (such as students or staff) is unlimited within the normal operation of the Customer's own single business. The Customer may not run several businesses from one account or resell the Service to third parties. Above the threshold published on each industry portal (for example, for academies, 500 or more students or 5 or more sites), we may agree a separate fee with the Customer; if no agreement is reached, either party may terminate on 30 days' notice. Exceeding a threshold never locks existing data or accounts.
5.Trial
The trial (normally 30 days from the day the account opens) is free of subscription and setup fees. No training or go-live check is given during the trial; these come with the setup fee once a plan is chosen. Continued use after the trial requires choosing and paying for a plan. If the Customer terminates within the trial, or has not chosen a plan by the time the trial ends, it is treated as terminating within the trial and nothing is charged.
6.Customer responsibilities
- Manage accounts and access, and remain responsible for Users' use of the Service.
- Use the Service lawfully and not upload data infringing third-party rights.
- The accuracy of Customer Data and the lawfulness of its collection (including any consents) are the Customer's responsibility.
7.Data and privacy
- The Customer owns and controls Customer Data. We process it only on the Customer's behalf, for providing the Service.
- We comply with the New Zealand Privacy Act 2020. We do not use Customer Data for other purposes or sell it to third parties.
- Potentially sensitive information, such as church membership rolls, is accessible only within the permission scheme set by the Customer.
- Operator access: our operators access the Customer's screens only when the Customer allows it in the Service's settings (Tenvio support access), and only for the period (up to 72 hours) and level (view only by default) allowed. The Customer's managers are notified when access starts, and every access is recorded in a log the Customer can see. The only exceptions are compliance with legal obligations, responding to security incidents, and restoring service in an urgent fault that the Customer has asked us to fix or that prevents use of the Service; even then the reason is recorded, access is limited to 24 hours, and the Customer is notified. Exception access is view only by default; permission to make changes is used only where needed to fix the fault, and that fact is stated in the notice and the log. The Customer can end the access at any time in the settings.
- Server and database administration rights are held by the minimum number of people needed to run the Service, and we do not use them to view Customer Data except to restore service or respond to security incidents.
- Customer Data is stored on servers in the Sydney, Australia region (Supabase, ap-southeast-2) — that is outside New Zealand. Storage overseas is subject to IPP 12 of the Privacy Act 2020, and we take care that the receiving party provides comparable safeguards.
- We maintain reasonable security measures and regular backups. Customers are also encouraged to keep their own copies using the export features.
- We will notify the Customer without undue delay of any privacy breach.
8.Payment processing (where applicable)
- Card payments — where card payments are enabled for a Customer, they are processed by a payment provider (Stripe) and paid directly into the Customer's own Stripe account. The provider's terms apply, and the provider deducts its fees directly from the Customer's account.
- Card fees — the card fee borne by the Customer is the payment provider's fee plus our platform fee (a percentage of the payment, with no fixed per-transaction amount). The rate is shown on the relevant industry portal or in the order confirmation, and changes take 30 days' notice under clause 4. Our platform fee is deducted from the payment as a single amount and is therefore GST-inclusive — the GST-exclusive rule in clause 4 applies to subscription and setup fees.
- Cafés — the café service does not support card payments (Stripe) by default. Cards are taken on the Customer's existing EFTPOS terminal; those fees are governed by the Customer's agreement with its terminal provider or acquirer, and we charge no fee on them. We do not sell or rent terminals and do not integrate with them (amounts are keyed into the terminal). If we and the Customer separately agree to enable card payments for a café, the two items above apply.
- We are not liable for the payment provider's acts or outages. Cash, bank-transfer and card recording features are records only, not a guarantee of payment.
9.Termination and data return
- The Customer may terminate at any time; fees already paid are not refunded. (For contracts started on the previous term commitment, terminating during the term follows the previous clause noted in clause 4.)
- We may terminate on 30 days' notice, or after notice to remedy a material breach (including non-payment).
- For 30 days after termination the Customer may export Customer Data. We then delete it, except what the law requires us to keep.
10.Warranties · Consumer Guarantees Act
The Service is provided "as is". The Customer acquires the Service in trade, and both parties agree that the Consumer Guarantees Act 1993 does not apply to this agreement, and that this exclusion is fair and reasonable.
11.Limitation of liability
To the extent permitted by law, neither party is liable for indirect or consequential loss (lost profits, data reconstruction costs, etc.), and our total liability is capped at the amounts the Customer paid in the 12 months before the event giving rise to the claim. This cap does not apply to wilful misconduct or gross negligence.
12.Changes to these terms
We may change these terms. For changes materially adverse to the Customer we give 30 days' notice by email or in the Service, and the Customer may terminate before they take effect. Continued use means acceptance.
13.General
This agreement is governed by New Zealand law and the New Zealand courts have jurisdiction. If the Korean and English versions differ, the English version prevails.
